One day, a group of wise men asked Nasreddin Hoca how many stars are in the sky. They were testing him. Nasreddin's response was that there were as many stars as the number of hairs on his donkey. The men were not impressed with this answer. But with that answer, Nasreddin left room for error. This principle can hold true when you write a contract. Write your contracts so that you have a reasonable margin of flexibility if you think it may be needed.

Let's say you are selling a home. Or buying a home. It isn't important which one it is. The contract may set terms for closing. If one of the sides does not perform by that date, they are in trouble. When attorneys draft contracts, they leave a margin of safety. They insert terms to the effect of, "buyer and seller agree that closing shall take place "ON OR ABOUT" October 1, 2023." Or they may insert a provision, " ...there shall be no penalty or action for breach, if performance is completed within 30 days of October 1, 2023."

These words allow for a margin of safety. So that when October 1, 2023 comes around and someone might need a few more days, it won't automatically result in a costly lawsuit.

How many stars, Nasreddin Hoca? You may see hundreds if you are in a location where surrounding lights do not interfere.
